IT due diligence · acquisitions, investments and mergers
IT due diligence before you buy, invest or merge: know what you are taking on.
A company can look healthy on paper and still carry unlicensed software, an unpatched server holding customer data, or email accounts only one former employee controls. Missan reviews the target’s technology, puts a rough cost on what needs fixing and tells you what to write into the deal. Confidential, fixed fee, from a team that has run IT for businesses since 2004.

Questions
What buyers ask before they sign.
What is IT due diligence?
An independent look at a company’s technology before you buy it, invest in it or merge with it. It answers practical questions: is anything about to fail or expire, is the data safe, are the licences legal, who controls the accounts, and what will it cost to bring the IT up to your standard or join it to yours.
When in the deal should it happen?
After the letter of intent and before signing, ideally with enough time for findings to affect the price or the conditions. A first view can be ready within days for a small company; larger groups take longer. We agree the timeline with you before starting.
Will the target company know?
They have to give access, so yes, someone on their side will be involved. We work under your confidentiality agreement, keep the number of people involved small and only ask for what the review needs.
What do we get at the end?
A written report in plain language: what we found, how serious each finding is, rough cost bands to fix it, and what should be written into the deal, for example a licence true-up or handing over admin accounts before completion. We walk you and your advisers through it.
Can you help after the deal closes?
Yes. Most of the risk shows up in the first 100 days: accounts, email, licences and backups. We can run the integration or the separation, or simply support your own team with a plan.
Do you only cover UAE companies?
Most targets we look at have UAE operations, but many also have staff or systems elsewhere. Missan has teams in 3 countries, and remote parts of the review can be done wherever the systems are.
How is it priced?
A fixed fee agreed after a short call about the size of the company, the number of sites and how deep the review needs to go. You get it in writing before we start.
Tell us about the deal
Roughly how big the target is, how many sites, and when you need the findings. No company names needed at this stage. We reply within one business day.
